These terms and conditions are an agreement in electronic format between you as an end-user and Tudodesk. By accessing and using our services, you are agreeing that you will be bound by and act in accordance with the terms and conditions of this agreement.

Acceptance of Terms

We may update this agreement at any time, with no prior notice to you. The latest agreement will be posted on the website for your review before you sign up for our service. If you do not agree with any or all of the terms and conditions of this agreement, you must cease our service; your continued use of our service will imply your acceptance of this agreement.

Service description

Our service is to endow you with the means to manage your business. Our service is based on an all-in-one business application that is hosted by us or on our behalf and is remotely accessible to you through our website.

You have our permission to use the Service, but only if:

Account termination

Tudodesk reserves the right to cancel customer accounts at any time with or without notice. Providing false or invalid account information may result in the termination of your account.

Payment information

Tudodesk customers agree to supply appropriate payment for the products services received, in advance of the time period during which such services are provided.

Indemnity

You agree to indemnify, defend (if we so request) and hold harmless Tudodesl and suppliers and agents from and against any claim, demand, losses, damages or expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your connection to the Service, your violation of these Terms or your violation of any rights of any third party. Your indemnification obligation will survive the termination of these Terms and your use of the Service

User content

You are solely responsible for any User Content you post to the Service and the consequences of posting or publishing it. By "User Content", we mean any Content a user posts to the Service, including comments or posts made via third party services. "Content" means information, data, text, software, music, sound, photos, graphics, videos, files, messages, tags, interactive features, or any other materials. When we say "post", we include posting, uploading, sharing, submitting or otherwise providing User Content in any manner in connection with the Service.

Disclosure to Law enforcement

The provider may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies. We will cooperate fully with law enforcement agencies.

Service and content changes

Tudodesk reserves the right to revise its policies at any time without notice.

License

Subject to the terms and conditions of this agreement, Tudodesk grants you a limited, non-transferable right to use our service to manage your business operations for the term of the agreement unless terminated; provided that you may not use our service in a resale capacity, or process third-party data. Tudodesk has all rights, title and interest in the Tudodesk application and any materials supplied to you by us.

Warranty disclaimer

USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE (INCLUDING OUR CONTENT) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TUDOESK AND ITS SUPPLIERS AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitations

You shall not sell or resell, transfer, distribute or otherwise exploit or give access to any third party of our service except as permitted under the agreement to develop your own business;

Tudodesk will provide and operate the cloud-based servers including our application functionality available to you as provided in this agreement.

Service availability

Subject to the terms and conditions, Tudodesk will use reasonable efforts to provide our service for 24/7. You acknowledge that temporary interruptions in the availability of the Service may occur from time to time as normal events. Like periodic maintenance procedures or upgrades, service malfunctions and reasons beyond our control or which are anticipated by us, that might include the interruption or failure of telecommunications or digital transmission links, hostile network attacks or network jamming or any other failures. Tudodesk will make reasonable efforts to reduce any disturbance, inaccessibility or inoperability of our service in connection with these downtimes. Also, we may decide to cease making available the Service or any portion of the Service at any time and for any reason. Under no circumstances will Company or its suppliers be held liable for any damages due to such interruptions or lack of availability.

Payment

You agree to pay Tudodesk the fees specified in the plan corresponding to the service level to which you have subscribed. All payments or reimbursements under this agreement must be received by Tudodesk within 5 days of your subscription period. If you cancel your Tudodesk service, we are not obligated to refund the service charges that have already been paid. Cancellation will take effect at the end of the service period unless an earlier date is requested.

Upon the acceptance of your registration information along with any such initial payment, this agreement will commence and shall continue until it is terminated by either party for breach of its terms. For violations of this Agreement, Tudodesk has the authority to terminate your access to our service. Any violation of your payment obligations or unauthorized use of our service will adjudge to be a material breach of this Agreement. We may terminate your account, or use of our service if you breach or otherwise fail to meet the terms of this Agreement.

Deletion of your information

Your personal information, as well as any User Content you make available to us, belongs to you. If you wish to delete your information from our system, all you need to do is just contact us. We will confirm your request (to verify that it’s really you) and we will delete your information as promptly as possible. Once your requested information is deleted, we will notify you.
